Terms of Service

1. Agreement to Terms

By accessing or using the SpeakEasy platform, API, dashboard, or website (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

SpeakEasy provides Speech-to-Text (STT) and Text-to-Speech (TTS) API services. We act as an intermediary, managing authentication, billing, and rate limiting, while audio and text processing is performed by upstream AI providers. We do not guarantee specific AI model availability or accuracy levels.

3. Account Registration

  • You must be at least 16 years old to create an account.
  • You must provide accurate and complete registration information.
  • You are responsible for maintaining the security of your account credentials and API keys.
  • You must notify us immediately of any unauthorized access to your account.
  • One person or entity may not maintain more than one account.

4. Billing and Payment

4.1 Subscription

The Service operates on a monthly subscription model. Your first month is billed at $1.00 USD with full access to all features. Subsequent months are billed at $10.00 USD per month. Subscriptions auto-renew monthly via Stripe.

4.2 Included Usage

Each billing period includes 50 hours of combined Speech-to-Text and Text-to-Speech usage. For STT, one hour of audio equals one hour of usage. For TTS, approximately 66,667 characters equals one hour of usage. Unused hours do not roll over.

4.3 Overage

Usage beyond 50 included hours is billed at $0.25 USD per additional hour. Overage charges are calculated at the end of each billing cycle and added to your next invoice. You will receive email notifications as you approach your included usage limit.

4.4 Cancellation

You may cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months. Outstanding overage charges remain due.

4.5 Failed Payments

If payment fails, we will retry according to Stripe's retry schedule. If payment cannot be collected after multiple attempts, your account may be suspended until payment is resolved.

5. API Usage and Rate Limits

  • API access requires a valid API key issued through your dashboard.
  • API keys must be kept confidential. Do not share or expose them in client-side code.
  • We enforce a maximum of 10 concurrent API requests per account.
  • File uploads for STT are limited to 25 MB per request (direct upload) or 1 GB via URL.
  • We reserve the right to throttle or suspend access if usage patterns indicate abuse.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Generate or process content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Impersonate any person or entity, or create deceptive voice content without consent
  • Generate deepfake audio intended to deceive, defraud, or harass
  • Attempt to reverse-engineer, decompile, or extract the underlying AI models
  • Circumvent rate limits, authentication, or other security measures
  • Resell API access without our written consent
  • Use automated systems to create accounts or generate API keys in bulk
  • Interfere with or disrupt the Service or its infrastructure

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice.

7. Intellectual Property

7.1 Your Content

You retain all rights to content you submit through the API (audio files, text input). You grant us a limited, non-exclusive license to process your content solely to provide the Service. We do not claim ownership of your input or output content.

7.2 Our Service

The SpeakEasy name, logo, website, dashboard, and documentation are our intellectual property. You may not use our branding without written permission, except to identify us as your service provider.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. The Service is provided “as is” without an SLA. We may perform maintenance, updates, or experience downtime due to factors beyond our control including upstream provider outages. We will make reasonable efforts to notify you of planned maintenance.

9. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
  • Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
  • We are not responsible for the accuracy, quality, or reliability of AI-generated transcriptions or speech output.

10. Indemnification

You agree to indemnify and hold harmless SpeakEasy, its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service, your content, or your violation of these Terms.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or at our sole discretion with reasonable notice. Upon termination:

  • Your API keys will be immediately revoked
  • Outstanding charges remain due
  • We will retain your data as described in our Privacy Policy
  • You may request data export before or within 30 days after termination

12. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be resolved through binding arbitration in accordance with the rules of the applicable jurisdiction. Class action waivers apply to the fullest extent permitted by law.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or dashboard notification at least 30 days before they take effect. Continued use after the effective date constitutes acceptance. If you disagree with changes, you may cancel your subscription before the effective date.

14. General

  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Entire agreement: These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and SpeakEasy.
  • Assignment: You may not assign your rights under these Terms without our written consent.
  • Waiver: Our failure to enforce any provision does not constitute a waiver of that provision.
